Upfront analysis is key to success
This light-hearted treatment camouflages a deadly serious point. As with affairs
of the heart, the participants are often overly eager to get down to the fun activities.
In the case of M&A that means the wheeling and dealing of the transaction
itself. What often gets left on the cutting room floor is the detailed analysis
of what company A really needs to complement its strengths and make up for its
weaknesses; what the ideal company B would look like; and how to put together
two businesses, so that the combination is worth more than the sum of the parts
— rather than less, as so often happens in real life.
It is common knowledge that many M&A transactions fail to live up to expectations.
The seemingly simplistic message of this video is that success requires lots of
attention to finding the right fit, and thinking through why putting together
the two business will create incremental value. It is shocking how often that
message seems to be ignored.
